Corporate and Business Law
The Firm has a regular practice involved in corporate and business transacations, including the formation of business entities (corporations, LLCS, partnerships), negotiation of member, shareholder and partnership agreements, buy-sell agreements (both B2B and internally), asset purchase agreements, and a variety of other transactional business matters, with or without a real estate component. Mr. Mazzarantani served as the lead attorney involved in the formation and relocation to southwest Florida of a national franchisee; a transaction which involved various local corporate acquisitions, franchise agreements, buy-sells, employment and financing matters. We counsel clients in many facets of their business lives, with a particular emphasis on business planning and strategies.
Banking and Finance
The Firm represents a number of local and regional lenders in connection with commercial and real estate-based loan transactions. The Firm’s work today in this market emphasizes the REO, workouts, and refinance aspects of the lender market.
Real Estate
The Firm is experienced in almost all facets of real estate, from contract negotiations and drafting, development due diligence, financing, title insurance and closing. The Firm has closed in excess of $350 million dollars in both residential and commercial purchase/sale transactions. In connection with this practice, Mr. Mazzarantani is an approved Title Agent for TICOR Title Insurance Company, Ticor of Florida, and Attorney’s Title Insurance Company. The Firm represents developers and lenders in complex real estate matters, including a current project involving a proposed new town on a 5,000 acre tract.
Land Use & Development
The Firm has developed a successful practice in the areas of land use and development matters, driven predominantly from its representation of various local, regional and national clients, and relying on Mr. Mazzarantani’s over-25 year experience as an Architect as well. The Firm represents a Fortune 125 company in a variety of land use, acquisition, development and leasing matters throughout the State of Florida, as well as other large regional developers. The Firm’s practice in this area has ranged from representation before a number of city and county Commissions in connection with quasi-judicial land use matters, such as re-zonings, coastal, and water-related permitting. The Firm also has experience in other matters such as representation before the Florida Building Commission in connection with a precedent setting Building Code interpretation and the Department of Community Affairs in connection with a challenge to a County’s Comprehensive Plan Amendment, in preparation for a DRI filing.
